Terms of Service

The short version. Kodie is software that runs on your own computer. It is free during early access. It is not financial advice, AI answers can be wrong, and you're responsible for the accounts and services you connect to it.

1. Agreement

These terms are between you and Kodie, the software and website at kodiemanagement.com (“Kodie”, “we”, “us”). They cover the Kodie app, its installer and this website. By installing or using Kodie, or joining the waitlist, you agree to them. If you don't agree, don't use Kodie.

2. What Kodie is

Kodie is an early-access Windows app that runs on your own computer. It connects to AI services, email, calendars and web apps that you choose. It can remember facts you approve, ask several AIs the same question, summarize what your connected services show, alert you on rules you set, and take voice commands.

3. Not financial, legal or professional advice

Kodie is not a financial adviser, broker or investment adviser. It does not recommend buying, selling or holding any security or asset. Anything Kodie shows, including data, alerts and AI answers, is for information only and may be wrong, delayed or incomplete. You alone are responsible for your decisions and their results. Talk to a licensed professional before making financial, legal or medical decisions.

4. AI can be wrong

Kodie uses AI models from third parties and, if you choose, models that run on your computer. Their answers can be inaccurate, incomplete or out of date, and several AIs agreeing doesn't make an answer correct. Check anything important before relying on it.

Kodie keeps your settings, memory, chat history and connected-account details on your computer. We don't receive them. The Privacy Policy explains what Kodie sends to third parties at your direction, and what this website collects.

8. License

We give you a limited, personal, non-exclusive, non-transferable, revocable license to install and use Kodie. You may not resell, sublicense or redistribute Kodie except as we allow in writing. Open-source parts of Kodie are covered by their own licenses, listed in THIRD_PARTY_NOTICES, and nothing here limits your rights under them.

9. Early access and fees

Kodie is free during early access. Early-access builds may have bugs, may change, and features may be added or removed. Before any paid plan starts, we'll publish its price, billing and refund terms here and show them before you pay.

10. No warranties

Kodie is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise Kodie will be uninterrupted, error-free or secure.

11. Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages. That includes lost profits, trading or investment losses, lost data, and losses caused by third-party services or AI output. Our total liability for any claim is limited to the greater of what you paid us for Kodie in the 12 months before the claim, or US$50.

12. Indemnity

You will defend and hold us harmless from claims arising from your use of Kodie, your connected accounts, or your breaking these terms or anyone else's terms.

13. Ending use

You can stop using Kodie at any time by uninstalling it (Settings, Apps, Kodie). We may end your license if you break these terms. Sections 3, 4 and 10 to 15 continue after that.

14. Changes

We may update these terms. We'll post the new version here with a new effective date, and Kodie will ask you to accept important changes before you continue using it.

15. Law and disputes

If something goes wrong, email us first. Most problems can be sorted out quickly that way. These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Florida, unless the law where you live gives you the right to bring it elsewhere.
